Terms of Service
1. Scope
These Terms of Service ("Terms") govern the use of the partiqon software-as-a-service platform ("partiqon" or "the Platform"), operated by Hendrik Hangmann ("Provider"), by registered users ("User").
Any terms and conditions of the User that deviate from, conflict with, or supplement these Terms do not become part of the contract unless the Provider expressly agrees to their applicability in writing.
2. Description of services
partiqon is a web-based tool for developing, backtesting, and optimizing algorithmic trading strategies based on historical price data provided by the user ("Bring Your Own Data"). The specific scope of features depends on the pricing tier booked (Free, Pro, Premium) as set out in the current description of services on the website.
partiqon is explicitly not a financial services provider, broker, signal provider, or investment advisor. The Platform does not execute orders, has no connection to brokerage accounts, and does not issue buy or sell recommendations. Further details are set out in Section 8 of these Terms.
The Provider strives to ensure high availability of the Platform but does not guarantee uninterrupted availability, particularly during maintenance, technical disruptions, or force majeure.
3. Registration and access
Access to partiqon is currently invite-only, via a waitlist. There is no entitlement to being granted access or to being added to the waitlist.
Registration requires truthful provision of the requested information. The User is obligated to keep their access credentials confidential and to inform the Provider immediately if there is reason to believe that unauthorized third parties have gained knowledge of the credentials.
4. User rights and obligations
The User is solely responsible for all content and data they upload to the Platform, in particular historical price data.
The User represents and warrants that they are entitled to use and upload the data they provide, and that use of this data within partiqon does not infringe the rights of any third party (in particular contractual agreements with data providers or brokers). The Provider does not verify uploaded data for such entitlement.
The User agrees not to use the Platform for unlawful purposes and not to upload any content they are not entitled to use. The Provider reserves the right to suspend access in the event of violations of these obligations.
5. Pricing and payment terms
The currently applicable prices for each pricing tier are set out in the pricing overview on the website. For paid subscriptions (Pro, Premium), billing occurs in advance, either monthly or annually, depending on the selected billing cycle.
The Provider reserves the right to adjust prices for future billing periods with reasonable prior notice. Amounts already paid for the current billing period remain unaffected.
6. Term and termination
Paid subscriptions automatically renew for the respective billing period (monthly or annually) unless cancelled before the end of the current period. Cancellation can be made via account settings or by email to the Provider.
The right of either party to terminate for good cause remains unaffected.
7. Intellectual property
All rights to the Platform itself, its software, structure, and design remain with the Provider. The User is granted a simple, non-transferable right to use the Platform for the duration of the contract, within the scope of the pricing tier booked.
Strategies, uploaded data, and configurations created by the User remain the property of the User.
8. Disclaimer and no investment advice
partiqon is an analysis and backtesting tool. The Platform does not provide investment advice, financial analysis in the regulatory sense, or recommendations to act regarding the purchase or sale of financial instruments.
Past backtest results are not an indicator or guarantee of future results or actual trading outcomes. Simulated results may differ from real trading results for numerous reasons (including market conditions, slippage, liquidity, and execution quality).
Any trading decisions the User makes based on analyses produced with partiqon are the sole responsibility of the User. The Provider is not liable for financial losses resulting from the User's trading decisions.
Beyond this, the Provider is liable without limitation for intent and gross negligence, as well as under applicable product liability law. For slightly negligent breach of material contractual obligations, liability is limited to foreseeable damage typical for this type of contract. Liability for slight negligence is otherwise excluded, to the extent permitted by applicable law.

10. Changes to these Terms
The Provider reserves the right to amend these Terms with effect for the future, insofar as this is necessary to adapt to changed legal or technical circumstances. Users will be informed of material changes with reasonable prior notice. If the User does not object to the change within a reasonable period, the amended Terms are deemed accepted.
11. Final provisions
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers with habitual residence in another EU member state, mandatory consumer protection provisions of that state remain unaffected.
If the User is a business, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from this contractual relationship shall be the Provider's place of business.
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
